Terms of Service

Effective Date: [Date on which our website goes live]

Last Updated: [Date on which our website goes live]

These Terms of Service (“Terms”) govern access to and use of the website, services and associated facilities offered by Spy Eye Intelligence Network LLP (“SPIN”), including cyber-investigation, digital- forensic, monitoring, assessment, recovery-assistance and related services.

By submitting a request for assistance, engaging SPIN for a service, accessing an agreed service, or otherwise using SPIN's website or service facilities, you agree to these Terms together with SPIN's Privacy Policy, applicable engagement documents and any service-specific terms communicated to you.

If you do not agree with these Terms, you should not use SPIN's services.

01 1. About SPIN

Spy Eye Intelligence Network LLP is a cyber-intelligence and forensic-services platform that connects individuals and organisations seeking cyber-investigation or forensic assistance with suitable independent cyber investigators and forensic specialists.

SPIN provides an organisational and service-assurance framework that may include:

  • Initial understanding of the matter.
  • Identification of the appropriate type of service.
  • Expertise-based case allocation.
  • Investigator verification and empanelment.
  • Conflict-of-interest safeguards.
  • Case onboarding and monitoring.
  • Coordination where required.
  • Quality-assurance review of investigation outputs.
  • Grievance and operational escalation mechanisms.

The assigned investigator or forensic specialist performs the technical investigation, examination or professional work independently within the agreed scope.

02 2. Services Offered

Depending on the nature of the matter, SPIN may facilitate or provide access to:

  • Assessment Services.
  • Investigation Services.
  • Investigation and Recovery Assistance.
  • Specialist Forensic Services.
  • Ongoing Monitoring Services.
  • Such additional related services as SPIN may introduce from time to time.

These services are presently organised across the SPIN Investigate, SPIN Protect, SPIN Business, SPIN Forensics and SPIN Legacy service pillars.

The description of a service on the website is intended to explain its general nature. The actual activities undertaken in an individual matter will depend upon the facts of the case, available information, lawful authority, technical feasibility and the scope agreed for that engagement.

03 3. Requesting Assistance does not create an Engagement

Submitting a Request Assistance Form, sending an enquiry, communicating with SPIN or providing preliminary information does not by itself create a formal engagement with SPIN or any investigator or forensic specialist.

Before substantive work begins, SPIN may:

  • Assess whether the matter falls within its service scope.
  • Request further information.
  • Verify the identity or authority of the requester.
  • Identify the expertise required.
  • Determine whether a conflict of interest exists.
  • Identify technical, legal or operational limitations.
  • Define the scope of work.
  • Communicate applicable charges and commercial terms.
  • Require acceptance of an engagement proposal, service order, consent, authorisation or other applicable documentation.

SPIN may decline a request where the matter is outside its scope, appears unlawful or inappropriate, suitable expertise is unavailable, a conflict exists, necessary authority cannot be established, or SPIN otherwise determines that the matter should not be accepted.

04 4. Scope of and Engagement

The scope of each accepted engagement may specify:

  • The issue to be examined.
  • Accounts, devices, files, transactions, digital assets or other material within scope.
  • Expected investigation, assessment, monitoring or forensic activities.
  • Information or evidence required from the customer.
  • Expected deliverables.
  • Timelines.
  • Confidentiality requirements.
  • Applicable authority or supporting documentation.
  • Fees and commercial terms.
  • Other case-specific conditions.

Work outside the agreed scope may require further assessment, revised timelines and additional charges.

A matter may also need to move from one SPIN service to another if new facts, evidence or technical requirements emerge during the engagement.

05 5. Independent Investigators and Forensic Specialists

SPIN operates through a network of independent cyber investigators and forensic specialists.

Where an independent specialist is assigned:

  1. SPIN identifies a specialist based on considerations such as expertise, nature and complexity of the matter, required specialisation, availability, geography where relevant and potential conflicts of interest.
  2. The specialist conducts the technical work independently and is responsible for the professional integrity of their technical findings and opinions.
  3. SPIN provides the organisational framework around the engagement, including applicable monitoring, coordination, quality assurance and escalation.

The independent investigator or forensic specialist retains full professional independence in forming and reporting technical findings and opinions, and SPIN does not influence or require such findings or opinions to be modified to suit a customer's preferred outcome.

06 6. Customer Responsibilities

By requesting or using SPIN services, you agree to:

  • Provide information that is accurate to the best of your knowledge.
  • Disclose material facts that may affect the investigation or service.
  • Provide requested information and documentation within reasonable time.
  • Preserve potentially relevant evidence where advised.
  • Avoid knowingly altering, destroying or fabricating relevant evidence.
  • Comply with reasonable technical and evidence-handling instructions.
  • Provide lawful authority for access to accounts, devices, records or digital assets where required.
  • Inform SPIN if another investigator, authority, court, platform or professional is simultaneously dealing with the matter where this may affect the engagement.
  • Use SPIN's services and outputs only for lawful purposes.

Delays, incomplete information, inaccessible records, altered evidence or inaccurate information may affect the scope, timeline or outcome of the service.

07 7. Lawful Authority and Authorised Access

You must have an appropriate lawful basis or authority for the assistance you request.

Where the matter relates to another person's account, device, information, digital asset, estate or other property, SPIN may require evidence showing that you are lawfully authorised to act.

Such evidence may include, depending on the circumstances:

  • Ownership information.
  • Organisational authorisation.
  • Authority from the affected person.
  • Parental or guardianship authority.
  • Legal representation.
  • Executor, administrator or trustee authority.
  • Succession or nomination documentation.
  • Court orders or other legally valid authority.
  • Other relevant documentation.

SPIN does not provide services intended to obtain unauthorised access or circumvent lawful access controls.

08 8. Digital Evidence

Where digital evidence is relevant, SPIN and the assigned specialist will seek to use appropriate forensic practices intended to preserve, as applicable:

  • Integrity.
  • Authenticity.
  • Traceability.
  • Evidentiary value.

Depending on the matter, digital evidence may include communications, files, devices, account records, transaction information, digital media, metadata, system records, blockchain information or other electronic material.

Customers should avoid unnecessarily modifying, deleting, forwarding, repeatedly accessing or otherwise interfering with potentially relevant evidence, where doing so may affect its integrity.

SPIN may provide guidance on appropriate preservation or transfer arrangements depending on the matter.

09 9. Forensic Reports and Evidentiary Use

Some SPIN services may result in forensic reports, technical findings, evidence inventories, timelines, assessments, expert opinions, certifications or other professional outputs.

Such outputs:

  • Reflect the information and evidence available for examination.
  • May contain technical observations, conclusions and limitations.
  • Are subject to the defined scope of the engagement.
  • Do not themselves determine legal liability, guilt, ownership, succession rights or entitlement.

Where an output is intended for law-enforcement, legal, judicial, arbitral or regulatory use, customers should obtain appropriate legal advice regarding its use.

SPIN does not guarantee that any evidence, report, certificate or expert opinion will be accepted, admitted or given any particular evidentiary weight by a court, tribunal, investigating authority or other competent body.

10 10. Monitoring Services

Ongoing Monitoring Services are intended to improve visibility of identifiable digital risks and provide alerts where relevant information is detected within the agreed monitoring scope.

Monitoring is subject to:

  • Agreed identifiers.
  • Available intelligence sources.
  • Lawful access.
  • Technical capabilities.
  • The defined monitoring scope.

SPIN does not guarantee that:

  • Every online threat will be identified.
  • Every leaked record can be located.
  • Every deep-web or dark-web source can be monitored.
  • Every impersonation attempt will be discovered.
  • Detected information can always be removed.
  • Future cyber incidents can be prevented.

A detected issue may require a separate investigation, recovery service or specialist forensic examination.

11 11. Recovery and Remediation Services

Where SPIN provides recovery or remediation assistance, such assistance will be limited to legitimate and lawful recovery pathways.

SPIN may assist with matters such as:

  • Account-recovery procedures.
  • Device recovery.
  • Security restoration.
  • Platform recovery processes.
  • Wallet or digital-asset access issues.
  • Account transfer or closure.
  • Incident containment.
  • Other agreed remedial activity.

SPIN does not:

  • Bypass passwords or multi-factor authentication.
  • Circumvent private keys or wallet security.
  • Defeat legitimate platform security controls.
  • Obtain unauthorised access.
  • Guarantee successful recovery.

Some recovery outcomes depend entirely or partly upon third-party platforms, service providers, financial institutions or other organisations outside SPIN's control.

12 12. Financial Fraud and Asset Recovery

Investigation of financial fraud, cryptocurrency incidents, unauthorised transactions or digital theft does not guarantee recovery of funds or digital assets.

Customers acknowledge that prompt reporting to banks, payment providers, exchanges, platforms or law-enforcement authorities may be critical.

SPIN's role may include investigation, reconstruction of available digital trails, evidence organisation and reporting assistance, but SPIN does not exercise powers reserved for banks, financial institutions, courts, law-enforcement agencies or statutory authorities.

13 13. Third-Party Platforms and Information

Many SPIN services involve or relate to third-party platforms, websites, telecommunications providers, financial institutions, cloud providers, exchanges, social-media companies or other external entities.

SPIN does not control their:

  • Policies.
  • Response times.
  • Disclosure decisions.
  • Recovery procedures.
  • Account actions.
  • Content-removal decisions.
  • Data availability.
  • Cooperation with investigations.

Information unavailable through lawful and appropriately accessible sources may require the involvement of a competent authority or other authorised process.

14 14. Law-Enforcement, Legal and other Professional Services

SPIN is not a law-enforcement agency, court, tribunal or statutory investigative authority.

SPIN also does not provide legal representation merely by providing cyber-investigation or forensic services.

Depending on the matter, you may need assistance from:

  • Law-enforcement agencies.
  • Banks or financial institutions.
  • Online platforms.
  • Advocates or other legal professionals.
  • Courts or tribunals.
  • Tax, financial or succession professionals.
  • Other competent institutions.

SPIN may, where appropriate and legally permissible, support reporting processes or provide relevant technical information, evidence or forensic assistance to customers and their professional advisers.

15 15. Urgent Situations

SPIN should not be treated as an emergency-response authority.

Where a matter involves:

  • Immediate danger to a person.
  • A serious offence that is actively unfolding.
  • Financial fraud that is actively occurring.
  • Unauthorised banking, payment or fund-transfer activity that is currently in progress.
  • Threats involving a child.
  • Any other situation requiring urgent statutory or institutional intervention.

You should contact the appropriate bank, platform, law-enforcement agency, emergency service or competent authority without waiting for SPIN to commence or complete an assessment.

16 16. Sensitive Cases and Child Safeguarding

Some matters may require additional privacy, sensitivity and safeguarding measures.

Depending on the case, SPIN may apply measures including:

  • Restricted investigator access.
  • Minimal-necessary disclosure.
  • Minimal duplication of sensitive content.
  • Controlled evidence transfer.
  • Confidentiality safeguards.
  • Additional safeguarding or reporting procedures where required.

Matters involving children or suspected child exploitation may be subject to different handling, preservation and statutory-reporting requirements.

SPIN reserves the right to take or require actions necessary to comply with applicable law and safeguarding obligations.

17 17. Confidentiality

SPIN recognises that investigation and forensic matters may involve confidential, personal, commercially sensitive or legally sensitive information.

SPIN and participating specialists are expected to handle case information in accordance with applicable confidentiality obligations, SPIN procedures and applicable law.

Confidentiality may, however, be subject to lawful disclosure where required by:

  • Applicable law.
  • Court order.
  • Competent authority.
  • Statutory obligation.
  • Other legally binding process.

Specific confidentiality arrangements may also be included in an individual engagement.

18 18. Personal Data and Privacy

Personal data submitted to or processed by SPIN will be handled in accordance with SPIN's Privacy Policy and applicable data-protection requirements.

The Privacy Policy will explain, among other matters:

  • Categories of personal data processed.
  • Purposes of processing.
  • Lawful bases or applicable grounds.
  • Sharing with assigned specialists or service providers.
  • Retention.
  • Security practices.
  • Rights available to individuals.
  • Grievance mechanisms relating to personal data.

Where an engagement requires processing information relating to third parties, the customer is responsible for ensuring that such information is supplied to SPIN on an appropriate lawful basis.

19 19. Fees, Statutory Taxes, Place of Supply and Payment

Fees, applicable taxes, payment milestones and other commercial terms will be communicated before commencement of a chargeable engagement or as otherwise agreed.

Unless expressly stated otherwise in the applicable quotation, proposal, Service Order or engagement documentation, all professional fees, retainers, assessment charges, disbursements and other charges quoted by SPIN are exclusive of applicable Goods and Services Tax (GST), cess, duties or other statutory levies.

GST will be charged in accordance with applicable GST laws, including applicable Central Goods and Services Tax (CGST), State Goods and Services Tax (SGST) or Integrated Goods and Services Tax (IGST), as the case may be.

Unless otherwise required under applicable GST law, the Place of Supply will ordinarily be determined on the basis of the customer's verified GST registration details, where the customer is registered under GST, or the customer's billing or address details available in SPIN's records, where the customer is not registered under GST. The applicable intra-State (CGST + SGST) or inter-State tax (IGST) treatment will be reflected in the invoice accordingly.

Customers are responsible for providing accurate and current billing, GST registration and other information reasonably required for statutory invoicing.

Additional fees may arise where:

  • The scope materially changes.
  • Additional evidence or devices require examination.
  • Further investigation becomes necessary.
  • Specialist expertise beyond the initial scope is required.
  • Travel or physical attendance becomes necessary.
  • Additional reporting or professional assistance is requested.

Any such additional work should ordinarily be communicated and agreed before being undertaken.

Detailed billing, cancellation and refund provisions may be governed by SPIN's applicable commercial terms.

20 20. Cancellation or Termination

A customer may request cancellation of an engagement subject to the applicable engagement terms, work already undertaken, costs incurred and any non-cancellable commitments.

SPIN may suspend or terminate an engagement where:

  • Required payments are not made.
  • Necessary cooperation is not provided.
  • The customer provides materially false or misleading information.
  • Lawful authority cannot be established.
  • Continuation may involve unlawful or unethical activity.
  • The customer seeks unauthorised access or another prohibited activity.
  • A material conflict of interest arises.
  • The safety of an investigator or other person may be affected.
  • Continuation becomes technically or legally impracticable.

Where appropriate, SPIN will communicate the consequences of termination, including any outstanding fees or handling of materials.

21 21. Prohibited Use of SPIN Services

SPIN services must not be requested or used for:

  • Unauthorised access to accounts, devices, networks or systems.
  • Unlawful surveillance or interception.
  • Stalking, harassment or intimidation.
  • Obtaining another person's passwords, private keys or credentials without lawful authority.
  • Circumventing security controls.
  • Concealing, destroying or fabricating evidence.
  • Facilitating fraud, theft or other unlawful activity.
  • Unlawfully identifying, tracking or targeting another person.
  • Violating intellectual-property, privacy or other legal rights.
  • Any purpose SPIN reasonably believes to be unlawful, abusive or inconsistent with professional investigative practice.

SPIN may refuse, suspend or terminate any matter that raises such concerns.

22 22. No Guarantee of Outcome

Cyber investigation and digital forensics depend upon the facts, evidence and technical information available in each matter.

Accordingly, SPIN does not guarantee:

  • Identification of an anonymous person.
  • Identification of a particular IP address or technical source.
  • Recovery of an account.
  • Recovery of funds or digital assets.
  • Recovery of deleted information.
  • Detection of every threat or exposure.
  • Removal or takedown of online content.
  • Cooperation by third-party platforms.
  • A particular investigative conclusion.
  • S favourable legal or regulatory result.
  • Admissibility or evidentiary weight of any evidence.

Professional findings may also change if material new evidence becomes available.

23 23. Professional Opinions, Evidentiary Use and Limitations

Investigation findings, assessments and forensic opinions are based on the information, evidence, tools and methods reasonably available within the agreed scope.

Reports, investigation or forensic or audit timelines, cryptographic-hash verifications, electronic certificates and other technical or forensic outputs issued through SPIN or by an assigned independent investigator or forensic specialist, as applicable, reflect the relevant independent technical, scientific or forensic findings and opinions within the defined scope of the engagement.

SPIN provides cyber-investigation, digital-forensic and related technical or advisory assistance. It does not provide legal representation merely by providing such services.

Neither SPIN nor an assigned specialist guarantees any judicial, criminal, civil, regulatory or financial outcome, including a criminal conviction, court admissibility or evidentiary weight, recovery of civil damages, financial restitution or another particular legal result.

Any material limitations identified during the engagement may form part of the resulting report or communication.

Technical findings should not be interpreted beyond the scope in which they were prepared.

The acceptance, admissibility, evidentiary value or weight ultimately given to any report, certificate, electronic record, expert opinion or other output is a matter for the relevant court, tribunal, investigating authority, regulator or other competent body.

24 24. Intellectual Property and Use of Reports

SPIN, its specialists and applicable licensors retain ownership of their respective pre-existing methodologies, tools, templates, know-how and intellectual property.

Subject to payment of applicable fees and any engagement-specific restrictions, customers may use investigation or forensic deliverables for the purpose for which they were commissioned.

Customers must not materially alter a report, remove relevant qualifications or limitations, or present an extract in a misleading manner.

Any broader publication, commercial reuse or public distribution may be subject to additional conditions.

25 25. Website Content

Information published on the SPIN website is provided for general informational purposes and to explain SPIN's services.

Website content:

  • Does not constitute a forensic finding concerning a particular matter.
  • Does not create a professional engagement.
  • Does not constitute legal advice.
  • May be updated as SPIN's services, policies or applicable requirements evolve.

Service availability may also change.

26 26. Professional Evidentiary Disclaimer and Limitation of Liability

26.1 Independent Expert Findings

All reports, audit timelines, cryptographic hash verifications, and electronic certificates issued by SPIN represent independent technical, scientific, and forensic opinions. SPIN provides technical forensic investigation and advisory support; it does not provide legal representation, nor does it guarantee judicial outcomes, criminal convictions, court admissibility, civil damages recovery, or financial restitution.

26.2 Financial Cap on Liability

SPIN’s total aggregate financial liability arising out of or in connection with or related to any engagement, whether founded in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be strictly capped and limited to the maximum extent of total professional fee actually received by SPIN for the specific engagement giving rise to the claim.

26.3 Waiver of Consequential Damages

Under no circumstances shall SPIN, its Designated Partners, empanelled specialists, or employees be liable for lost profits, loss of data, punitive damages, direct, indirect, or consequential losses of any kind whatsoever. Where liability is assessed in arbitral or judicial proceedings, the Arbitral Tribunal or Court shall not award damages and or compensation exceeding the aforesaid contractual fee limit.

27 27. Force Majure events and events beyond Reasonable Operational Control

To the extent permitted by applicable law, SPIN, its Designated Partners, employees and empanelled investigators or forensic specialists will not be liable for unauthorised access, alteration, loss, unavailability or compromise of information, or interruption or failure of services, to the extent directly caused by events beyond their reasonable operational control and notwithstanding the implementation of applicable reasonable security safeguards.

Such events may include regional or widespread telecommunications or internet disruptions, failure of critical third-party infrastructure, cyber warfare, state-sponsored sabotage or intrusion, unusually severe or widespread malicious-software outbreaks, power or hardware failures, natural disasters, acts of God, governmental restrictions or other comparable circumstances that could not reasonably have been prevented or mitigated through measures required under applicable law.

Where such an event affects an engagement, SPIN will seek to take such reasonable operational, security, continuity or remedial measures as may be appropriate in the circumstances.

Nothing in this section excludes or limits any responsibility or liability that cannot lawfully be excluded or limited.

28 28. Inherent Technical Risk and Third-Party Cyberattacks

By transmitting files, digital evidence, personal data or other information to SPIN, or by commissioning or using SPIN's services, the customer acknowledges that electronic transmission, storage, processing and forensic handling of digital information involve inherent technical and cybersecurity risks that cannot be completely eliminated.

Even where reasonable security safeguards are implemented, electronic systems may remain exposed to risks including zero-day vulnerabilities or exploits, advanced persistent threats (APTs), state- sponsored or highly sophisticated cyber intrusions, distributed denial-of-service (DDoS) attacks, malicious-software outbreaks, hardware or infrastructure failures and other adversarial attacks capable of circumventing reasonable security safeguards.

Where SPIN has implemented the reasonable security safeguards required under applicable law, then, to the extent permitted by applicable law, SPIN will not be liable for indirect, incidental, consequential, special or punitive loss or damage resulting solely from a third-party cyberattack or other external malicious act that circumvents such safeguards and is beyond SPIN's reasonable operational control.

This acknowledgement of inherent risk does not waive, restrict or exclude any statutory right, obligation or liability that cannot lawfully be waived, restricted or excluded.

29 29. Customer Indemnity

To the extent permitted by law, a customer may be responsible for loss, claims or costs arising from materially false representations concerning their authority, ownership or lawful entitlement to request a service, or from unlawful use of SPIN's services or outputs.

Detailed indemnity provisions may be included in engagement-specific terms where appropriate.

30 30. Grievance and Escalation

SPIN maintains mechanisms for customers to raise concerns relating to its services, case administration, investigator conduct, confidentiality, privacy or other relevant matters.

Complaints or grievances may be submitted through SPIN's Grievance Redressal Mechanism or through the designated contact details published on the website.

  • Operational requirements.
  • Changes in law or regulation.
  • Security or technology developments.
  • Improvements to SPIN's governance framework.

The updated version will be published on the website with the revised “Last Updated” date.

Where a material change affects an ongoing engagement, the applicable engagement terms will determine how that change applies.

32 32. Dispute Resolution, Seat of Arbitration and Jurisdiction

32.1 Amicable Resolution
